The Lighthouse Campus, developed in partnership with Vantage and OpenAI, represents one of the most ambitious AI infrastructure commitments in recent memory—and it's already running into regulatory headwinds.

The Wisconsin Public Service Commission (PSC) declined to revisit its earlier decision regarding We Energies' tariff application for the project. Oracle argued in an affidavit that without modification to the PSC's ruling, the company would be forced to post financial security in the form of a letter of credit or cash deposit.

"Based on our current projections, we anticipate that, under the current mandated requirements, we will ultimately be required to post financial security, likely in the form of a letter of credit in an amount exceeding $7 billion, at an annual cost that could exceed $100 million," Oracle stated in the filing.

Credit Ratings and the Exemption Threshold

Oracle's path to avoiding the $7 billion security requirement hinges on maintaining specific credit ratings. To qualify for an exemption, the company must hold at least an A- rating from S&P Global and an A3 rating from Moody's.

S&P downgraded Oracle to BBB- earlier this month, bringing it below the threshold. The company held a BBB rating at the time of the PSC's initial decision. That downgrade is significant—not just for the Wisconsin project, but for Oracle's broader financial posture as it pours capital into AI infrastructure.

The OpenAI Connection

S&P's analysis of Oracle's situation highlights the outsized role that OpenAI plays in the company's financial obligations. The rating agency estimates that OpenAI accounts for roughly half of Oracle's $638 billion in remaining performance obligations (RPO)—approximately $319 billion.

"OpenAI's ability to meet its contractual obligations and raise external financing will be contingent upon AI tailwinds continuing and its models being market leaders," S&P noted. "If OpenAI were unable to pay Oracle, we believe Oracle could be left with massive datacenter leases that it might be unable to exit or have to re-lease to new tenants under less-favorable terms."

Oracle has attempted to shore up its financial position by increasing its committed credit line to $10 billion, drawn from a syndicate that includes Bank of America and JPMorgan Chase. Regarding the broader community impact, Oracle said: "The Port Washington datacenter is being developed responsibly in partnership with the community, creating thousands of jobs, strengthening local businesses, and driving long-term economic growth across Wisconsin."

The company expressed hope that the PSC would reconsider its position, arguing that Oracle's proposal strikes "the right balance between paying our way, protecting ratepayers, and ensuring there is still a commercially reasonable path to investment in the state of Wisconsin."
